Mp4 to Mp3 conversion?

If i use iTunes to convert some mp4 files at 124kbps into mp3s at 192kbps, will there be any loss of quality?

I've heard that aac into mp3 can deteriate the file, but i cant find any info on the mp4.

Such an annoying file type.

Not necessarily. AAC is encoded using MP4.
