"Scheduler" windows in OS X

Mac OS X Desktop, 10.11.3 El Capitan
Can anyone tell me why it is that I am getting a box with the msg. "Scheduler wants to make changes - please enter your username and PW" almost every time I wake my Mac OS X 10.9.2 Mavericks?

Addendum to question by samfromhernando: I've looked and looked and I do not have an "App" by the name of "Scheduler".
