Seems to be corrupted. Will not open and gives the following message: "The photo library needs to be upgraded to work with this version of iPhoto."

You should be able to just click OK and your photo library will be updated, after which iPhoto will open.

iPhoto Upgrade

iPhoto is version 9.5 and keeps coming up the following
"The photo library needs to be upgraded to work with this version of iPhoto."
Your photo library will not be readable by previous versions of iPhoto after the upgrade. The upgrade process for very large libraries may take an hour or more to complete.
I click on the Upgrade button and it closes and nothing happens.

OK, that's a bit different from your first post. It's possible your library is corrupt and will not convert. Try repairing the old library first and then try again to convert. Take a look here.

I went thru the steps you suggested and each time ended up with the Update / Quit Screen. When I try update it simply closes down. Any other suggestions?
:p
