If you have iMovie you don't even need the pro version of QT:
Just import the movie into iMovie, and then export it from there using the 'iMovie > iPod' setting.

thanks for the advice but i cant find that option in imovie HD.

Sorry, I should have been more specific:
Go to (menu) File> Share, then select 'Quicktime' and under 'Compress movie for' select 'expert settings'.
Hit share and in the box that pops up select 'movie to iPod'.
