Yes, it will work. But since it's an upgrade edition, you're technically in violation of the license agreement. It will expect an existing install of Vista, so you might have to reinstall it over itself. Some people have reported success with skipping the Product ID entry, allowing the install to finalize and then manually activating.

You're only in violation of Microsoft's license agreement if you do not already own a license for XP or Vista.

However, you're correct about the upgrade maybe having to be installed over itself in order to work. That's how I installed my copy of Windows 7 Home Premium upgrade.
