Does it matter what version of Final Cut Studio 2 you have? Or will the upgrade work on all versions.

Retail/Academic/Not for re-sale/etc...

Yes, you can upgrade with no problems from FC 2 to FC 3.

You can not upgrade an Academic license. The upgrades are for the Retail versions.
