Check your Dock icon for mail -> Right Click, select Options. Make sure it's not set to open on Login.

Are you running Lion? If so, make sure you uncheck 'reopen programs at login'

Are you unchecking restore programs at login when you reboot?

not 100% sure what you mean. i checked my login items and mail isnt in there. figured if it was i could check it to hide it, but its not in there, i put it in there and checked it and still it came up. if i go to over menu and click quit mail then its fine but if i just click the upper left red dot on the corner it will pop back up on login.

Lion itself has the option to restart your programs every time it starts.
This option is regardless of the settings of login items.
Lion will open any programs that you have running when you shut it down.
If you don't want it to do this you must choose to uncheck "reopen programs at login"
